Supplier shall maintain a policy of statutory workers' compensation insurance for its employees and shall comply with all applicable workers' compensation laws.Supplier shall maintain employers' liability insurance in the limits of not less than $1,000,000.B.Comprehensive General Liability Insurance, including coverage for contractual liability and insuring the indemnity agreement set forth in the governing Purchase Order or Agreement, broad form property damage coverage, and products�/completed operations coverage with a combined single limit of liability for bodily injury and property damage of $1,000,000 per occurrence.Products/completed operations coverage shall continue for a period of two years after completing the work, and Supplier shall continue to provide evidence of such coverage upon request and on annual basis during such period.Proceeds from any property loss shall be payable as directed by Southco.C.Automobile Liability Insurance, including contractual liability, insuring owned, nonowned, hired and all vehicles used by Supplier with a combined single limit of not less than $1,000,000 applicable to bodily injury, sickness or death and loss of or damage to property in any one occurrence.[UPON REQUEST] D.Additional Excess/Umbrella Liability Insurance with minimum limits of $5,000,000, providing coverage in excess of the primary Comprehensive General Liability, Automobile Liability and Employer�s Liability policy outlined in A, B and C above.Excess/Umbrella Liability policy shall be no more restrictive than aforementioned underlying primary policies.E.Additional Insureds � Southco, its subsidiaries and affiliated companies, and their employees, officers and agents shall be named as additional insureds in each of Supplier's policies required herein, except Workers' Compensation!however, such extension of coverage shall not apply with respect to any obligations for which Southco has specifically agreed to indemnify Supplier.F.Subrogation - All policies shall be endorsed to provide that underwriters and insurance companies of Supplier shall not have any right of subrogation against Southco, its subsidiaries and affiliates, and their agents, employees, officers, invitees, servants, contractors, sub contractors, underwriters and insurance companies.G.Certificates - Supplier shall furnish Certificate(s) of Insurance to Southco evidencing the insurance required hereunder and, upon request, Southco may examine true copies of the actual policies.� Each certificate shall provide that thirty (30) days' prior written notice shall be given Southco in the event of cancellation or material change in the policies.IMPORTANT - In order to avoid delays in commencing Services, certificates of insurance shall be addressed to the person or department requesting them.All Certificates of Insurance must contain reference to endorsements (i.e.Additional Insureds, Waiver of Subrogation, etc.) as required herein.H.Premium & Deductibles - All policies shall be endorsed to provide that there will be no recourse against Southco for payment of premium.Any and all deductibles in the above-described insurance policies shall be assumed by, for the account of, and at Supplier's sole risk.All deductibles shall be in amounts reasonably acceptable to Southco.I.Subcontractor's Insurance - Supplier shall require all sub contractors to obtain, maintain and keep in force, during the time in which they are engaged in performing Services hereunder, adequate insurance coverage in accordance with Supplier's normal practice and furnish Southco acceptable evidence of such insurance upon request.All policies of subcontractors shall be endorsed to provide a waiver of subrogation as set forth in Paragraph F above.J.Supplier's or Rented Equipment - All equipment, supplies and materials belonging to Supplier or used by or on behalf of Supplier for its performance hereunder shall be brought to and kept at the jobsite at Supplier's sole risk and Southco and Client shall not be liable for loss or damage thereto and any insurance policies carried by Supplier or a third party on said equipment, supplies and materials shall provide for waiver of underwriter's right of subrogation against Southco, its subsidiaries and affiliates, and their agents, employees, officers, invitees, servants, contractors, subcontractors, underwriters, and insurance companies.K.Limit of Liability - These insurance provisions in no way affect the liability of Supplier as stated elsewhere in the governing Purchase Order or Agreement.L.Primary Insurance!Occurrence Form - Any coverage provided Southco by Supplier's insurance under the governing Purchase Order or Agreement is primary insurance and shall not be considered contributory insurance with any insurance policies of Southco, its subsidiaries or affiliates!however, Supplier's insurance shall not be primary with respect to any obligations for which Southco has specifically agreed to indemnify Supplier.All insurance policies shall have occurrence form coverage.M.Acceptability of Insurers - Insurance is to be placed with insurers with a current A.M.Best�s rating of no less than A, unless otherwise approved by Southco.N.Additional Insurance - Southco may require additional types of insurance as specified in the governing Purchase Order.Except where otherwise agreed in writing, the premiums for such required additional insurance shall not be reimbursable by Southco.
